Terms of Service

Last updated: September 19, 2026. Draft pending review by counsel.
Plain summary. ToolFlow Pro is software you use in a browser to run your tool crib. You keep your data, we keep the service running and confidential, you are responsible for who you give access to and for what your people enter. Either side can end the arrangement; if you leave, we give you your data and then delete it.

1. The agreement

These terms are between ToolFlow Pro LLC, an Illinois limited liability company ("ToolFlow Pro", "we"), and the company that signs up for the service ("you", "the shop"). By creating an account or using ToolFlow Pro you accept these terms. If you accept on behalf of a company, you confirm you are authorised to do so.

2. The service

ToolFlow Pro is a browser based application for tracking tooling in a machine shop: tool library and stock, machines and their positions, work orders and part numbers, floor reports, returns, resharpening, crib requests, orders and tooling cost. We may add, change or retire features; we will not remove something you depend on without reasonable notice.

ToolFlow Pro does not control machines, does not connect to your CNC equipment, and is not a system of record for accounting or regulatory compliance.

3. Your account and your people

4. Your data

Your data stays yours. We do not sell it and we do not use it to advertise. We use it to run the service for you, to keep it secure, and to support you when you ask. Our handling of personal information is described in the Privacy Policy, which is part of these terms.

We may use aggregated statistics that cannot identify you or your people to improve the product.

5. Availability

We aim to keep ToolFlow Pro available during your shifts and we monitor it automatically, but we do not promise uninterrupted service: parts of it depend on third party infrastructure that can fail. Planned maintenance will be announced in advance where practical.

6. Fees

[PRICING AND BILLING TERMS TO BE COMPLETED: plan, price, billing period, taxes, late payment, renewal and cancellation.] Until paid plans are introduced, access is provided at no charge and may be changed or withdrawn with notice.

7. Support

Support is provided by email at info@toolflowpro.com. We will use reasonable efforts to answer promptly during business hours.

8. Confidentiality

Each side will keep the other's non public information confidential and use it only to perform under these terms.

9. Termination

10. Disclaimers

The service is provided "as is". We do not warrant that it will be error free or that the information it shows will always match physical reality: it reflects what your people enter. Decisions about production, purchasing and cost are yours.

11. Limitation of liability

[LIABILITY CAP AND EXCLUSIONS TO BE COMPLETED BY COUNSEL.] To the extent permitted by law, neither side is liable for indirect or consequential losses, including lost production or lost profit.

12. Changes to these terms

If we change these terms we will update the date above and notify your administrator by email for significant changes. Continuing to use the service after that means you accept the new terms.

13. Governing law

These terms are governed by the laws of the State of Illinois, without regard to conflict of law rules. [DISPUTE RESOLUTION CLAUSE TO BE COMPLETED BY COUNSEL.]
